Terms of Service

By accessing or using any services provided by Manifold Care, Inc. (“Manifold,” “we,” “us,” or “our”), including the Balance application and any related websites, APIs, or features (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Manifold Care, Inc. We may update these Terms from time to time, and your continued use of the Service following any changes constitutes acceptance of those changes.

Manifold provides wellness technology tools built on causal discovery methods. Our primary product, Balance, is a mood tracking application that integrates with wearable devices to help users understand patterns in their emotional wellbeing. Balance collects self-reported mood data, wearable sensor data, and contextual information to generate personalized causal insights about factors that may influence your mood.

The Service may include features such as mood logging, wearable data integration, causal graph visualizations, journaling prompts, and personalized insights derived from our causal discovery algorithms.

Balance is a wellness tool designed to support self-understanding. It is not a medical device, and it is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The insights and information provided by the Service are for informational and educational purposes only and should not be construed as medical advice.

The Service is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of information provided by the Service.

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old and that all information you provide during registration is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or if required by law.

You retain ownership of all data you provide to or generate through the Service (“User Data”), including mood entries, journal content, and any information imported from wearable devices. By using the Service, you grant Manifold a limited, non-exclusive, worldwide, royalty-free license to process, analyze, and store your User Data solely for the purpose of providing, maintaining, and improving the Service.

We will not sell your User Data to third parties. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We employ industry-standard security measures, including encryption, to protect your data.

You may request export or deletion of your User Data at any time through your account settings or by contacting us directly.

The Service, including all software, causal discovery algorithms, statistical models, user interface designs, graphics, trademarks, and related documentation, is the exclusive property of Manifold Care, Inc. and is protected by applicable intellectual property laws. Our causal discovery methods and algorithms are patent pending.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works based on the Service or any of its components without our prior written consent.

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
• Use the Service for any commercial purpose without our prior written consent.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or algorithms of the Service.
• Scrape, harvest, or collect data from the Service through automated means without our authorization.

You may terminate your account and stop using the Service at any time. Upon termination, you may request a copy of your User Data before it is deleted from our systems in accordance with our data retention policies.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, extended periods of inactivity, or discontinuation of the Service.

Upon termination, all rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect, including Intellectual Property, Limitation of Liability, and Governing Law.

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Manifold does not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any insights, causal models, or information provided through the Service.

To the fullest extent permitted by applicable law, in no event shall Manifold Care, Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the amount you paid to Manifold in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, providing additional notice through the Service or via email.

Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may request deletion of your account.
